Independent contractor. States the consultant is not an employee and handles its own taxes and benefits.
Work product and confidentiality. Assigns paid work product to the client, keeps the consultant’s tools, and protects shared information.
Governing law.Governing law and venue decide which state’s rules apply and where a dispute must be filed, or whether it goes to arbitration instead. Frequently asked questions

When should I use a consulting agreement?

Use a consulting agreement for advisory or professional-services retainers with a named consultant. For a generic vendor project, a services agreement may be enough. For repeat projects under one legal frame, use an MSA plus SOWs.

Consulting agreement or services agreement?

A services agreement is the generic one-off services form. This template is written for a consultant: independence, advice, and work-product assignment on payment. If you expect repeat projects, see service agreement vs MSA.

Can I download this consulting agreement template?

Yes. Use Download .docx to get a Word file with placeholders such as [Party A] and [Effective Date]. You can edit it in Word or Google Docs, or create a filled-in version in the free contract creator.

Is the sample legally binding as shown?

No. Placeholder sample text is a starting point. It becomes an agreement for your deal after you fill in the details—manually or in the free contract creator—and the parties sign.

When should I use the free contract creator instead of editing the file?

Use the free contract creator if you want guided choices for who you are, the services, term, fees, and governing law, without hunting through every blank yourself.
