What this contract contains
Preamble and parties.In the creator you enter each party, pick whether you are assigning or receiving the IP, and set the effective date. Names the assignment and each party as Assignor or Assignee. Choose your side in the creator.
Assignment.In the creator you describe the assigned copyrights, patents, trade secrets, or project work in plain English. Transfers all right, title, and interest in the described IP, including the right to sue for past infringement.
Consideration. States what the assignee pays or provides in exchange for the assignment.
Further assurances and representations. Requires documents to perfect the transfer and represents ownership and no conflicting encumbrance.
Moral rights. Waives moral rights to the extent the law allows.
Governing law.Governing law and venue decide which state’s rules apply and where a dispute must be filed, or whether it goes to arbitration instead. In the creator you pick a listed jurisdiction or enter another, then choose court or arbitration so the sample is not locked to a default state. Sets the state law that governs the IP assignment agreement and where disputes must be brought. Choose the jurisdiction in the creator.
General. Covers assignment limits, waiver rules, severability, entire agreement language, notices, and counterpart or electronic-signature execution language.
