Frequently asked questions

When should I use a software license agreement?

Use a software license when you are granting or taking a right to use installed or distributed software. For hosted access on a renewable fee, use a SaaS subscription agreement. For transferring ownership of IP, use an IP assignment. For a full walkthrough, see our software license agreement template guide.

License or SaaS subscription?

A license is the right to use software you install or receive. A SaaS subscription agreement is the right to access hosted software for a term.

Can I download this software license agreement template?

Yes. Use Download .docx to get a Word file with placeholders such as [Party A] and [Effective Date]. You can edit it in Word or Google Docs, or create a filled-in version in the free contract creator.

Is the sample legally binding as shown?

No. Placeholder sample text is a starting point. It becomes an agreement for your deal after you fill in the details—manually or in the free contract creator—and the parties sign.

When should I use the free contract creator instead of editing the file?

Use the free contract creator if you want guided choices for who you are, the software, perpetual or term license, fees, and governing law, without hunting through every blank yourself.
